1. Eligibility and Membership
Admission to the Saint Trust network is strictly reserved for members selected via invitation or approved application. Minimum criteria include (but are not limited to):
Demonstrated minimum of $1M in verified annual revenue, occasionally, we offer membership to individuals who demonstrate exceptional entrepreneurial and leadership potential and who share our core values, regardless of current revenue.
Acceptance of the Saint Trust code of ethics and conduct.
Full acceptance of all confidential contractual documentation.
Membership requires a minimum annual commitment, subject to renewal or suspension in accordance with Saint Trust’s internal policies.
2. Permitted Use of the Site and Services
Users agree to use the Site and Services solely for lawful purposes and in full compliance with these Terms. Specifically, the following actions are prohibited:
Violating applicable local, state, or international laws.
Engaging in unauthorized scraping, crawling, or data harvesting.
Attempting to compromise the security, integrity, or availability of the Site or its underlying systems.
Impersonating others or misrepresenting one’s identity.
Using the Services for fraudulent, illegal, or otherwise unethical activities contrary to Saint Trust’s principles.
3. Security, Privacy, and Compliance
Saint Trust employs advanced security measures to ensure the confidentiality, integrity, and availability of user data, including personal, financial, and Web3-related data. These measures include:
End-to-end encryption.
Multi-factor authentication (MFA).
Regular audits and legal compliance procedures (e.g., KYC/AML).
Zero-knowledge data exposure policies.

4. Intellectual Property
All content on the Site, including but not limited to text, graphics, trademarks, logos, interfaces, code, NFTs, smart contracts, and digital assets, is the exclusive property of Saint Trust or its licensors. Reproduction, modification, distribution, transmission, or use of such materials without explicit written consent is strictly prohibited.
5. Service Availability
Saint Trust reserves the right to modify, suspend, or terminate the Site or Services, in whole or in part, at any time and without prior notice. Continuous availability and uninterrupted access to Services, particularly those relying on decentralized infrastructures, cannot be guaranteed.
6. Third-Party Services and Web3 Integrations
Some Services may integrate third-party technologies or platforms, including wallets, smart contracts, or external blockchain layers. Users acknowledge that interacting with such elements involves independent risks, and agree that Saint Trust shall not be held liable for any malfunction, loss, or breach arising from these external integrations.
7. Limitation of Liability
To the fullest extent permitted by law, Saint Trust shall not be liable for:
Any economic or financial losses.
Direct or indirect damages from service interruptions.
Unauthorized access or cyberattacks.
Misuse of Services by third parties.
8. Indemnification
Users agree to indemnify and hold harmless Saint Trust, its founders, collaborators, advisors, and partners from any liability, damages, costs, or expenses arising from violations of these Terms or misuse of the Services.
9. Governing Law and Jurisdiction
Saint Trust is a decentralized organization operating through digital Web3 infrastructures and has no permanent physical headquarters. For legal and dispute resolution purposes, the following framework applies:
These Terms are primarily governed by the laws of the State of Delaware (USA), the jurisdiction selected for managing the decentralized governance (DAO), smart contracts, and digital assets issued by the Club.
For activities subject to local regulations, including but not limited to data protection (e.g., GDPR), tax compliance, and anti-money laundering (AML/CFT), Saint Trust is committed to complying with applicable laws in the jurisdictions where its members operate or where services are delivered.
In the event of legal disputes relating to membership, services, or participation in governance, exclusive jurisdiction is assigned to the civil and federal courts of the State of Delaware, unless otherwise agreed in writing between the parties.
Saint Trust also reserves the right to activate alternative dispute resolution (ADR) mechanisms, including decentralized arbitration systems (e.g., Kleros, Aragon Court) for matters arising within the Web3 platform.
10. Membership Policies, Refunds, and Transfers
10.1 Granting of Membership
Membership to Saint Trust is granted on an annual basis starting from the date of full payment confirmation. The membership term is 365 days unless revoked due to a breach of these Terms.
10.2 Refund Policy (within 24 hours)
Refund requests are only accepted if the applicant has not yet been assigned to a group or curated experience. Requests must be submitted within 24 hours of the initial booking.
10.3 No Refund After Group Assignment
Once a user has been officially assigned to a group or integrated into an exclusive experience, no refund will be granted. However, at Saint Trust’s discretion, credit may be issued toward a future event, subject to availability.
10.4 Cancellations with Notice (45 Days or More)
If a user cancels participation at least 45 days before the event or experience start date, the full amount paid may be transferred to another event. The request must follow Saint Trust’s official cancellation policy procedures.
10.5 Cancellations Within 45 Days of the Event
Cancellations made within 45 days of the event are not eligible for any refund, regardless of the reason (including personal, logistical, or emergency-related causes).
11. Changes to the Terms
Saint Trust reserves the right to update or modify these Terms at any time. Changes will take effect immediately upon publication on the Site. Continued use of the Site or Services following such updates constitutes acceptance of the revised Terms.
